These general terms and conditions are applicable to all transactions entered into with BIM e-Solutions

The activities under such a transaction will be executed by qualified personnel.

The customer shall transfer the agreed fee on the indicated account number in the currency indicated on the invoice. If not, BIM e-Solutions cannot guarantee performance of the transaction.

All invoices are payable 30 days date of invoice. In the event of failure to pay within this period and without any reminder being required, BIM e-Solutions shall have the right to increase the final amount with 2%. In addition, without any reminder being required, compensation shall be charged at the rate of 10%, with a minimum of €50.

Any delay in the performance of any activity by BIM e-Solutions cannot result in payment of any compensation.

In case the customer cancels the transaction maximum one week or minimum three days before start of activities, the customer shall pay an indemnity equal to 30% of the final contract price. In case of cancellation maximum three days or minimum one day before start of activities, the indemnity shall be equal to 50% of the final contract price. In case of cancellation maximum 24 hours before start of activities the indemnity shall be equal to 100% of the contract price.

BIM e-Solutions shall not be liable for any loss or damage, directly or indirectly caused by or as a result of a false or negligent performance unless the customer can prove that a gross negligence is the reason of the damage. In this case the liability of BIM SA is limited to 10 times the contract price with a maximum of € 4.960 per damage causing event.

Both parties and their insurers shall reciprocally waive recourse in case of any damage and loss (including material and physical damage/loss or death of its personnel and consequential damages).

The customer shall indemnify and hold BIM e-Solutions harmless against all possible damages and all possible third party claims. If the activity will take place in the premises of the customer, the customer shall insure its responsibility with an insurance company recognised by BIM e-Solutions and show the confirmation hereof at first request.

Any complaint or claim against BIM e-Solutions must be received by registered mail within eight (8) calendar days following the effective performance of the activity. After that period all claims are time banned.

The Law of Luxemburg is applicable for all contracts accepted and executed by BIM e-Solutions.

All possible disputes between the customer and/or her associates, and BIM e-Solutions will be settled by mutual agreement. In the absence of a mutual agreement, all disputes of any nature whatsoever shall be subject to the exclusive jurisdiction of the Court of Luxemburg.
